Job Details Description ESSENTIAL JOB FUNCTIONS The Paralegal will report to and assist with preparing, arranging, finalizing and organizing legal documents.
The selected individual will also be charged with performing a wide range of duties under the Director's supervision, including the following: Prepare all Franchise Documents Work with existing Franchisee and AR's on transfers of licenses and territories Prepare Agreement Addendums Receive and review incoming new Franchise and Area Representative and transfer Agreements and process for signature by the Executive team.
Assist with preparation of Franchise Disclosure Documents Communicate and meet with potential and existing Franchisees regarding franchise disclosures and documents Notarize corporate documents as needed Work with Accounting Department and Franchise Sales Department on matters relative to new and existing licenses Update and maintain the Company's Franchise Compliance Database Maintain and update Franchisee Files and various spreadsheets As request review of Letters of Intent/ Leases/ Lease Addendums Prepare Non-Disclosure Agreements Update company corporate minute books and draft of minutes As requested, review abstracts of Leases Provide administrative legal support on designated work assignments Handle registered agent and annual corporate filings Maintain Department files REQUIRED EDUCATION/EXPERIENCE 4 Year Bachelor's degree preferred or 2 Year Associate's degree accepted in combination with relevant working experience Currently a Corporate Paralegal (no JDs) with 4-7 years' actual experience preferably in a corporate setting preferred but not required, although highly experienced Paralegals from a corporate department of a major law firm will be considered.
Franchise experience or experience in a regulated industry, while not required, is extremely advantageous and highly desirable.
Completion of a paralegal program with a Paralegal Certificate or Degree in Paralegal Studies preferred but not required Knowledge of commercial contracts, franchising and compliance in a regulated industry Ability to interpret and understand regulations and laws Knowledge of corporate documents, corporate entity formation and corporate minutes Ability to maintain and manage databases- knowledge of FranConnect, Salesforce or similar databases helpful Excellent computer skills required- Microsoft Office, Excel, PowerPoint, database management COMPETENCIES Excellent written and oral communications skills Ability to multi-task and work in a fast paced environment Ability to work well with others in a multi-faceted environment Ability to take direction and work independently as well as be a team player Initiative and a pro-active and results-oriented approach to getting the job done are critical SUPERIVISORY This will not any have direct reports within department to manage/supervise.
WORK ENVIRONMENT This job operates in a professional office environment.
This role routinely uses standard office equipment such as computers, phones, photocopiers, filing cabinets and fax machines.
PHYSICAL DEMANDS The physical demands described here are representative of those that must be met by an employee to successfully perform the essential functions of this job.
While performing the duties of this job, the employee is regularly required to talk or hear.
The employee frequently is required to stand; walk; use hands to finger, handle or feel; reach with hands and arms; and lift up to 50lbs.
