Job DescriptionPosition Summary:
A global law firm has an exciting full-time opportunity for a Junior to Mid-Level Associate in the Securities and Capital Markets Group, specifically within the Public Company Advisory team, based in the Fort Lauderdale office. This is a dynamic opportunity to engage in a broad range of matters involving federal securities law disclosure obligations, exchange compliance, SEC interactions, and corporate governance. The ideal candidate will have 2 to 5 years of experience advising public companies, including drafting and reviewing Exchange Act filings and providing strategic securities law guidance.

What Your Day May Look Like:
• Advise public company clients on day-to-day disclosure obligations under federal securities laws
• Assist clients in meeting listing standards of major U.S. exchanges
• Support SEC interactions, including preparation of filings and communications
• Draft and review Exchange Act filings such as Forms 10-K, 10-Q, 8-K, and proxy statements
• Provide guidance on executive and director compensation disclosures
• Participate in capital markets transactions, including equity and high-yield debt offerings, and M&A deals
• Collaborate on joint ventures, securities offerings, and other corporate transactions
• Stay current on securities law developments, corporate governance trends, and executive compensation issues
• Help clients mitigate risk and prepare for governance and compliance obligations




Requirements

Qualifications:

  • JD from an ABA-accredited law school.

  • At least 2-5 years of experience in public company advisory work.

  • Experience with drafting and reviewing Exchange Act filings (Forms 10-K, 10-Q, 8-K, and proxy statements).

  • Strong familiarity with listing standards of major U.S. exchanges.

  • Understanding of executive and director compensation and related disclosures.

  • Experience in offering work, such as equity offerings, high-yield debt offerings, and M&A is a plus.

  • Strong communication and client management skills.

  • Ability to work collaboratively in a team environment and across various industries.
