Salary: $90,000 - $110,000 per year

Job Details
Responsibilities
Corporate Governance & M&A Support
- Prepare and coordinate board meeting materials and comprehensive board books
- Assist with merger and acquisition due diligence processes and document collection
- Support acquisition documentation and closing materials
- Handle Form 4 filings and other SEC compliance matters
Contract & Litigation Management
- Review and summarize vendor agreements and contracts with key term analysis
- Track contract deadlines, renewals, and compliance requirements
- Oversee document review and production for litigation matters
- Coordinate with outside counsel on various legal proceedings
- Manage legal holds and subpoena response processes
Corporate Maintenance
- Maintain corporate records and entity management systems
- Support business licensing and qualifications across multiple jurisdictions
- Assist with annual corporate filings and regulatory compliance requirements
Requirements
- Bachelor's degree required, paralegal certificate preferred
- 5+ years corporate paralegal experience (in-house strongly preferred)
- Public company board administration experience highly valued
- Proficiency with corporate software and electronic filing systems
- Strong analytical, organizational, and communication skills
- Ability to work independently in fast-paced environment
