Senior Attorney - Corporate

Our client, a consistently ranked Am Law Global 110 firm, is seeking a Senior Attorney to join its dynamic Corporate Practice. The Corporate Practice Group handles sophisticated domestic and cross-border transactions and is committed to supporting professional growth. Candidates outside of Florida are encouraged to apply, as the firm is open to flexible arrangements for the right individual.

Senior Attorney - Corporate Qualifications:

• JD from an ABA-accredited law school
• 5–10 years of corporate law experience, with a focus on capital markets
• Florida Bar admission required; admission in other states is a plus
• Strong academic background with excellent drafting and negotiation skills
• Proven experience advising on securities offerings, public company reporting, and corporate governance
• Detail-oriented with strong problem-solving, organizational, and time management skills
• Experience with public and private offerings, proxy statements, and SEC filings
• Familiarity with M&A transactions and due diligence is a plus

Senior Attorney - Corporate Responsibilities:

• Advise on domestic and cross-border capital markets transactions
• Draft and review securities offering documents, including Rule 144A offerings and registration statements (S-1, S-3, S-4)
• Manage SEC interactions to ensure compliance with securities laws
• Counsel public companies on ’34 Act reporting, including 10-Ks, 10-Qs, 8-Ks, proxy statements, and Sections 13/16 filings
• Provide corporate governance advice to public companies
• Work closely with clients and internal teams to deliver efficient, high-quality legal support
