Job DescriptionDirect Counsel is representing an Am Law 100 firm seeking a Senior Attorney for its Corporate Practice in Fort Lauderdale.
Position: Senior Attorney – Corporate (Capital Markets)
Location: Fort Lauderdale, FL (Onsite)

Position Summary:
This is an exciting opportunity for a senior-level attorney (5–10 years) with capital markets experience to join a leading Corporate Practice. The role involves advising clients on complex domestic and cross-border transactions, including securities offerings and public company reporting, while providing governance and compliance counsel. The attorney will work with a broad client base, from emerging companies to multinational corporations, across industries such as healthcare, technology, infrastructure, insurance, education, manufacturing, retail, hospitality, and financial services.
Key Responsibilities:

Counsel clients on domestic and cross-border capital markets transactions.

Draft and review securities offerings, including Rule 144A offerings, S-1/S-3, and S-4 registration statements for securities offerings and business combinations.

Interact with the SEC and regulatory bodies to ensure compliance with securities laws.

Advise public companies on ongoing reporting requirements under the Exchange Act, including 10-Ks, 10-Qs, 8-Ks, proxy statements, and filings under Sections 13 and 16.

Provide corporate governance guidance to public companies.

Collaborate with clients and internal teams to deliver high-quality legal services.
Qualifications:

Juris Doctor (J.D.) from an ABA-accredited law school.

5–10 years of corporate law experience, with a focus on capital markets transactions.

Admission to the Florida Bar required; admission in additional jurisdictions is a plus.

Strong academic credentials and excellent drafting and negotiation skills.

Demonstrated experience advising clients on securities offerings, SEC reporting, and corporate governance.

Proven ability to manage complex transactions and work directly with clients.

Strong attention to detail, organizational skills, and a proactive problem-solving approach.
Preferred Qualifications:

Experience with both public and private securities offerings, proxy statements, and SEC filings.

Familiarity with complex M&A transactions and related due diligence processes.
