A global boutique firm is seeking an experienced Paralegal to support attorneys in securities and M&A transactions. This role requires strong organizational skills, attention to detail, and the ability to support complex, cross-border legal matters.
Responsibilities
Securities & Corporate Support
- Assist in preparing SEC-related filings, including registration statements, annual/quarterly reports, current reports, proxy and information statements, and insider reports.
- Support drafting and organizing materials for IPOs, PIPEs, ATMs, and other offerings.
- Maintain and organize client records, transaction documents, and correspondence.
- Coordinate with underwriters, issuers, and regulators to support transaction execution.
M&A Support
- Assist with due diligence, including document collection, review, and organization.
- Prepare closing checklists, signature pages, and transaction binders.
- Support attorneys with drafting and reviewing deal documents.
- Track timelines and deliverables for active transactions.
- Liaise with clients and counterparties to facilitate smooth deal execution
Qualifications
- Bachelor’s degree required; ABA-approved paralegal certificate preferred.
- 7+ years of experience as a paralegal in securities and/or M&A.
- Proficiency with SEC EDGAR and corporate databases a plus.
- Strong organizational, research, and communication skills.
- Proficiency with Microsoft Office Suite.
- Ability to work independently and as part of a team.
- Willingness to work overtime as needed.
- Basic Mandarin proficiency is a plus.
