Job DescriptionKeyStaff's client, a distinguished multi-service law firm with over 65 years of experience, is seeking a Senior Corporate Transactional Attorney to join its team in Palm Beach Gardens. The firm offers comprehensive legal services across various practice areas and is looking for a highly skilled attorney with 6 to 15 years of experience in corporate and business transactions to contribute to its growing practice.
Position Requirements:
- Position is onsite/in-office in Palm Beach Gardens office (Not Remote position will be consider for this role).
- Extensive experience in corporate law, including partnerships, LLCs, private placement offerings, joint ventures, mergers and acquisitions, and asset purchases.
- Strong drafting and negotiating skills for a variety of transactional documents, including operating agreements, shareholder agreements, partnership agreements, stock/asset purchase agreements, licensing agreements, employment agreements, and corporate governance documents.
- Excellent research and analytical capabilities.
- Familiarity with data privacy and cybersecurity issues, or experience with exempt organizations, corporate tax, or an LLM degree is preferred.
Key Responsibilities:
- Provide legal counsel on corporate law matters, mergers and acquisitions, joint ventures, and other business transactions.
- Draft and negotiate transactional documents for a wide range of business needs.
- Advise clients on corporate governance, regulatory compliance, and business strategy.
- Mentor junior attorneys and legal staff, providing guidance and support as needed.
Ideal Candidate:
- Strong business judgment, legal acumen, and the ability to manage client relationships.
- Excellent interpersonal and leadership skills.
- A minimum of 6-15 years of experience specializing in Corporate and Business Transactions.
- Licensed to practice law in Florida and a member of the Florida Bar in good standing.
Compensation:Salary range $110,000 - $200,000 based on experience.
