Job DescriptionDirect Counsel is representing an Am Law 100 firm seeking a highly motivated Capital Markets Associate Attorney to join its Corporate Practice Group in the Miami office. This is an exceptional opportunity to work with a top-tier global Capital Markets team on complex domestic and cross-border transactions for a diverse client base ranging from emerging companies to multinational financial institutions.

Key Responsibilities:

  • Lead and support capital markets transactions, including IPOs, high-yield and investment-grade debt offerings, and public/private equity transactions.

  • Draft and negotiate securities offering documentation and related corporate governance materials.

  • Coordinate and manage due diligence processes, including supervising junior associates and working across practice groups.

  • Advise U.S. and international clients on securities law compliance, disclosure obligations, and listing requirements.

  • Interact regularly with clients, investment banks, and regulatory authorities.

Requirements:

  • 2–6 years of significant experience in Capital Markets and general corporate transactions.

  • Strong understanding of securities laws, capital markets structures, and transactional execution.

  • Excellent academic credentials and strong drafting, communication, and organizational skills.

  • Experience leading due diligence teams and mentoring junior associates is a plus.

  • Must be admitted to the Florida Bar or eligible for admission.

Practice Overview:
The Capital Markets Practice represents clients in U.S. and cross-border transactions, including IPOs, Rule 144A/Reg S offerings, PIPEs, SPACs, REITs, and ATM offerings. Clients include public/private issuers, underwriters, broker-dealers, hedge funds, and investment companies.
