Job DescriptionDirect Counsel is representing an Am Law 100 firm seeking a highly motivated Capital Markets Associate Attorney to join its Corporate Practice Group in the Miami office. Key Responsibilities:

Lead and support capital markets transactions, including IPOs, high-yield and investment-grade debt offerings, and public/private equity transactions.

Draft and negotiate securities offering documentation and related corporate governance materials.

Coordinate and manage due diligence processes, including supervising junior associates and working across practice groups.

Advise U.S. and international clients on securities law compliance, disclosure obligations, and listing requirements.

Interact regularly with clients, investment banks, and regulatory authorities.
Requirements:

2–6 years of significant experience in Capital Markets and general corporate transactions.

Strong understanding of securities laws, capital markets structures, and transactional execution.

Excellent academic credentials and strong drafting, communication, and organizational skills.

Experience leading due diligence teams and mentoring junior associates is a plus.

Must be admitted to the Florida Bar or eligible for admission.
Practice Overview:
The Capital Markets Practice represents clients in U.S. and cross-border transactions, including IPOs, Rule 144A/Reg S offerings, PIPEs, SPACs, REITs, and ATM offerings. Clients include public/private issuers, underwriters, broker-dealers, hedge funds, and investment companies.
