Job DescriptionSecurities & Capital Markets Associate – Fort Lauderdale, FL (Onsite)

Direct Counsel is representing an AmLaw 100 firm seeking a Junior to Mid-Level Associate (2–5 years) to join its Securities & Capital Markets Group as part of the Public Company Advisory Team in Fort Lauderdale, Florida. This full-time, onsite position offers a dynamic opportunity to work with a diverse array of public company clients on sophisticated securities, governance, and capital markets matters.

About the Role:

You’ll advise public companies on federal securities law compliance, stock exchange listing standards, and SEC interactions, while also gaining experience in capital markets transactions and executive compensation disclosure. This role is ideal for associates looking to hone their expertise in public company advisory work while building long-term client relationships in a collaborative and high-performing team.

Key Responsibilities:

  • Advise clients on day-to-day disclosure obligations under federal securities laws

  • Draft and review Exchange Act filings, including Forms 10-K, 10-Q, 8-K, and proxy statements

  • Counsel on compliance with NYSE and Nasdaq listing standards

  • Assist with SEC filings, responses, and related communications

  • Provide guidance on executive and director compensation disclosures

  • Support capital markets transactions, including equity and debt offerings and M&A

  • Collaborate with team members across practice areas on joint ventures and governance issues

  • Monitor and communicate developments in securities law and corporate governance

Qualifications:

  • 2–5 years of relevant experience in public company advisory work

  • Substantial experience drafting and reviewing Exchange Act filings

  • Familiarity with major U.S. exchange listing standards

  • Understanding of executive compensation disclosures

  • Experience in securities offerings or M&A is a plus

  • JD from an ABA-accredited law school

  • Excellent academic credentials and strong written and verbal communication skills

  • Admission to the Florida Bar (or eligibility for prompt admission)

Compensation & Benefits:

  • Salary range: $215,000 – $260,000/year, based on experience and qualifications

  • Annual discretionary bonus
