Summary
The Paralegal will provide comprehensive clerical, research, and administrative support to the Vice President of Legal Affairs and other members of the legal team. This role involves drafting and reviewing legal documents, coordinating corporate governance matters, managing foreign entity compliance, assisting with employment-related issues, and collaborating with outside counsel on a variety of legal and business matters.
Key Duties and Responsibilities
- Meet with the Vice President of Legal Affairs and internal stakeholders to manage assigned projects and ongoing legal initiatives.
- Review, draft, and prepare commercial agreements and related legal documentation.
- Coordinate and maintain corporate governance and board-related records, including drafting resolutions, meeting minutes, and maintaining subsidiary documentation.
- Manage foreign entity registrations, annual filings, and compliance calendars in coordination with global and regional teams.
- Liaise with outside counsel on corporate, commercial, and employment-related matters to ensure consistency and alignment with company policies.
- Support HR and global teams on basic employment law matters, employee documentation, and compliance issues.
- Research and analyze statutes, regulations, legal articles, and judicial decisions; provide written summaries and recommendations.
- Assist with contract management, regulatory filings, and corporate transactions.
- Perform other related duties as required to support the legal department.

- Proficiency in Microsoft Office Suite and document management systems.
Education and Experience
- Associates degree in paralegal studies or a related field required.
- Bachelors degree in paralegal studies, Business, or Finance preferred.
- Paralegal certificate required.
- 35 years of experience in a corporate legal environment with exposure to board governance, entity management, and employment law support preferred.
