Job DescriptionKeyStaff's client, a distinguished multi-service law firm with over 65 years of experience, is seeking two Securities Attorneys to join its team in Palm Beach Gardens. The firm offers comprehensive legal services across various practice areas and is looking for two (2) highly skilled attorneys, one with 2-5 years of experience and the other with more than 6 years' experience in the area of Securities.
Position Requirements:
Candidates must have an interest in Securities and a desire to develop and hone their skills in these areas:
- 1934 Act reporting and 1933 Act registered and exempt offerings.
- SEC Reporting and Compliance.
- Mergers and acquisitions
- Position is onsite/in-office in Palm Beach Gardens office (Not Remote position will be consider for this role).
- Extensive experience with federal and state securities laws and regulations, corporate governance rules, and capital markets and exchange listing demand.
- Represent a diversified mix of public and private companies, funds, and private equity firms, as well as institutional investors, underwriters, placement agents, family offices, and other market participants raising capital in registered and exempt offerings.
- Advise clients in private and public offerings of equity, debt and convertible securities offerings, including initial public offerings (IPO’s) and secondary offerings such as alternative public offerings (APO’s), private investment in public equity (PIPE) transactions and acquisitions and mergers.
- Licensed to practice law in Florida and a member of the Florida Bar in good standing.
What you'll bring to the table:
- An entrepreneurial spirit, with excellent judgment, business and legal acumen, able to work independently and effectively under pressure, embrace teamwork and exhibit confidence.
- You will have strong drafting and research skills.
- Strong analytical, research and problem-solving skills are required.
- Strong academic credentials from an accredited law school.
Compensation:Salary range $120,000 - $200,000 based on experience.
Ideal Candidate:
- Strong business judgment, legal acumen, and the ability to manage client relationships.
- Excellent interpersonal and leadership skills.
- A minimum of 2-5 years of experience or 6 years and more specializing in Securities.
- Licensed to practice law in Florida and a member of the Florida Bar in good standing.
