A prestigious and fast-growing national financial services company is seeking an experienced Corporate Paralegal to join its in-house legal team. This role will support general corporate matters, regulatory compliance, M&A, and contract management. The ideal candidate will thrive in a dynamic, fast-paced environment and bring strong attention to detail, discretion, and a proactive approach to problem-solving.
Key Responsibilities:

Draft, review, and maintain corporate governance documents, including board resolutions, consents, minutes, and formation documents

Support M&A activity, including due diligence, data room management, and post-closing documentation

Coordinate regulatory filings and assist with compliance tracking and document management

Maintain and update entity management systems, including subsidiaries and licensing records

Assist with the preparation, negotiation, and tracking of vendor and service agreements

Collaborate with internal stakeholders, outside counsel, and compliance teams to support ongoing legal needs

Help manage legal templates and implement process improvements for workflow efficiency
Qualifications:

Minimum of 5 years of experience as a corporate paralegal, ideally in an in-house or financial services setting

Strong understanding of corporate governance, legal entity management, and transactional support

Experience working with entity management software (e.g., hCue, GEMS, or similar platforms)

Excellent organizational, communication, and time management skills

Proficient in Microsoft Office; experience with document management and contract tracking tools preferred

Bachelor’s degree and/or Paralegal Certificate required
