A prestigious and fast-growing national financial services company is seeking an experienced Corporate Paralegal to join its in-house legal team. This role will support general corporate matters, regulatory compliance, M&A, and contract management. The ideal candidate will thrive in a dynamic, fast-paced environment and bring strong attention to detail, discretion, and a proactive approach to problem-solving.

Key Responsibilities:

  • Draft, review, and maintain corporate governance documents, including board resolutions, consents, minutes, and formation documents

  • Support M&A activity, including due diligence, data room management, and post-closing documentation

  • Coordinate regulatory filings and assist with compliance tracking and document management

  • Maintain and update entity management systems, including subsidiaries and licensing records

  • Assist with the preparation, negotiation, and tracking of vendor and service agreements

  • Collaborate with internal stakeholders, outside counsel, and compliance teams to support ongoing legal needs

  • Help manage legal templates and implement process improvements for workflow efficiency

Qualifications:

  • Minimum of 5 years of experience as a corporate paralegal, ideally in an in-house or financial services setting

  • Strong understanding of corporate governance, legal entity management, and transactional support

  • Experience working with entity management software (e.g., hCue, GEMS, or similar platforms)

  • Excellent organizational, communication, and time management skills

  • Proficient in Microsoft Office; experience with document management and contract tracking tools preferred

  • Bachelor’s degree and/or Paralegal Certificate required
