Our client, a highly respected AmLaw firm with a thriving corporate practice, is seeking a Senior Corporate Attorney with strong experience in mergers and acquisitions, complex transactions, and general corporate governance. This is an opportunity to join a dynamic, collaborative team representing sophisticated clients in a wide range of industries — both domestic and international.



Responsibilities



  • Lead and manage all stages of M&A transactions, including deal structuring, due diligence, drafting, and negotiation of transaction documents.
  • Advise clients on corporate governance, entity formation, capital raises, and joint ventures.
  • Draft and negotiate a variety of complex commercial agreements, including purchase agreements, shareholder agreements, operating agreements, and financing documents.
  • Coordinate and supervise due diligence teams, ensuring thorough analysis of financial, operational, and legal risks.
  • Counsel clients on regulatory compliance, risk management, and strategic growth initiatives.
  • Mentor junior attorneys and collaborate cross-functionally with tax, real estate, and litigation teams to deliver comprehensive client service.
  • Maintain strong client relationships and contribute to business development initiatives within the firm’s corporate practice.




Qualifications



  • Juris Doctor (J.D.) from an accredited law school; Florida Bar admission required (or eligibility to waive in).
  • 8+ years of corporate law experience, with significant exposure to M&A transactions, private equity, and/or venture capital work.
  • Demonstrated experience leading deals from inception through closing, including drafting and negotiation of key transaction documents.
  • Strong understanding of corporate structures, securities laws, and due diligence processes.
  • Excellent drafting, communication, and analytical skills, with the ability to manage multiple complex matters simultaneously.
  • Client-focused mindset and ability to thrive in a fast-paced, team-oriented AmLaw environment.
