Direct Counsel is working with a highly regarded national law firm to find a mid-level M&A associate for its Finance & Transactions team in Miami. This is a strong platform for attorneys who enjoy private company M&A and want to take the lead on deal execution, with ample support, mentorship, and exposure to sponsor-side private equity work.
About the Role
This associate will play a key role in representing private equity sponsors and their portfolio companies across the full transaction lifecycle. Key responsibilities include:

Leading early-stage negotiations and drafting of term sheets and purchase/merger agreements

Managing and coordinating deal execution and client communication

Advising on acquisitions, dispositions, and growth equity investments

Working across teams and disciplines to handle sophisticated corporate transactions
You’ll work closely with experienced deal attorneys while gaining direct exposure to clients, strategy, and long-term business development opportunities.
Ideal Candidate Profile

4–6 years of law firm experience with a focus on private company M&A

Strong background representing private equity sponsors

Confident leading the initial stages of deal work (term sheet negotiation, drafting/marking up core documents)

Excellent communication and project management skills

J.D. from an accredited law school with strong academic credentials

Admitted to the Florida Bar or seeking admission

Base Salary: $280,000 – $320,000 depending on experience
